1.This agreement
These Terms of Service (“Terms”) are an agreement between you and Ruzora LLC, a New Mexico limited liability company with its registered address at 1209 Mountain Road PL NE STE R, Albuquerque, NM 87110, USA (“Ruzora”, “we”, “us”).
They apply when you use any of the following (together, the “Services”): www.ruzora.com and its subdomains, the Ruzora client portal, the Ruzora candidate portal, and the public Ruzora Model Context Protocol (MCP) server at https://mcp.ruzora.com/mcp.
If you use the Services, you accept these Terms. If you do not accept them, please do not use the Services. If you are accepting on behalf of a company, you confirm you are authorised to bind that company, and “you” means that company.
Our Privacy Policy explains what we do with personal information and forms part of these Terms.
2.What Ruzora provides
Ruzora offers two service lines:
- Staff augmentation. We source, vet, and place senior software engineers based in Latin America into client teams on an ongoing basis. Ruzora acts as a placement facilitator and payment intermediary. The engineers we place are independent contractors engaged through Ruzora; they are not employees of the client, and Ruzora is not the client’s employer of record.
- Software factory. Fixed-price custom software development delivered against an agreed scope and milestones.
The public parts of this website — role listings, calculators, guides, blog posts, and comparison pages — are provided for information. They are not an offer, a quote, or a guarantee of any particular outcome, price, or timeline.
3.What these terms do not cover
These Terms do not govern an actual Ruzora engagement. Staff augmentation and software factory work are governed by a signed Master Services Agreement (MSA), together with any Statement of Work (SOW), order form, or contractor acknowledgment executed under it. Those documents cover scope, rates, invoicing, confidentiality, intellectual-property assignment, warranties, replacement and guarantee terms, non-solicitation, and termination.
Where a signed MSA or SOW conflicts with these Terms, the signed document governs for that engagement.
4.Eligibility and accounts
You must be at least 18 years old to use the Services. Some parts of the Services — the client portal, the candidate portal — require an account or an emailed access link.
- Keep your login credentials and any magic link we email you to yourself. Anything done through your account is treated as done by you.
- Give us accurate information, and keep it current. Do not sign up on someone else’s behalf without their knowledge.
- Tell us immediately at team@ruzora.com if you think your account has been accessed by someone else.
5.Acceptable use
When using the Services, do not:
- break the law, infringe anyone’s rights, or help someone else do either;
- submit information that is false, or that belongs to someone who has not agreed to it being sent to us;
- attempt to access accounts, data, or systems you are not authorised to reach, or probe our infrastructure for vulnerabilities without first contacting us;
- scrape, crawl, or bulk-extract content beyond what a normal visitor or a well-behaved AI assistant would do, or circumvent rate limits;
- upload malware, or anything designed to interfere with the Services;
- resell, white-label, or otherwise commercialise our content, role listings, or candidate information without our written permission;
- use the Services to send unsolicited commercial messages to anyone.
Responsible security research is welcome. Report findings to team@ruzora.com rather than publishing or exploiting them.
6.Using the Ruzora MCP server
Ruzora runs a public MCP server so that AI assistants can answer questions about us and, when a user asks, contact us on their behalf. It is documented at /developers/mcp. It requires no account and no authentication, and we offer it free of charge.
- You are responsible for what your assistant sends. A tool call that submits someone’s contact details to Ruzora is treated as a request from that person to be contacted. Only submit details you are entitled to submit.
- It is rate-limited. Per-IP limits apply. Do not attempt to work around them, and do not use the server to generate volume rather than genuine enquiries.
- It is provided as-is, with no service level. We may change the tools, resources, schemas, rate limits, or endpoint, or withdraw the server entirely, at any time and without notice. Do not build anything that depends on it staying identical.
- Answers may be wrong. Content served over MCP is generated from the same sources as this website, but an assistant can paraphrase, summarise, or hallucinate around it. The authoritative statements about Ruzora’s services, pricing, and terms are the ones on www.ruzora.com and in a signed agreement.
- We may block abuse. We can rate-limit, block, or ban any client, IP range, or integration that misuses the server, without notice.
7.If you apply as a candidate
- Applying to Ruzora’s talent network is free. Ruzora never charges candidates a fee of any kind, at any stage. If anyone claiming to represent Ruzora asks you for money, it is not us — please report it to team@ruzora.com.
- Applying does not create an employment relationship, an offer, or any guarantee that you will be shortlisted or placed.
- Everything you tell us about your experience must be true and your own. Misrepresenting your background, or having someone else sit an assessment for you, ends the application and any future one.
- If we shortlist you for a role, we share your professional profile and assessment results with that client. See the Privacy Policy for what that involves.
- Placement is under a separate contractor agreement, signed at the point of placement.
8.Fees, invoices, and payment
Using the public website, the MCP server, and the newsletter costs nothing. Fees for an engagement are set out in the applicable MSA, SOW, or order form — not on this page — and are invoiced on the schedule that document states.
Where a client pays through the Ruzora client portal, payments are processed by a third-party payment processor. Ruzora does not receive or store full payment card numbers. Prices quoted on this website are in US dollars and are indicative until confirmed in writing.
Late payment, refunds, credits, and any replacement or delivery guarantee are governed by the signed agreement for that engagement.
9.Intellectual property
The Ruzora name, logo, site design, written content, calculators, and software are owned by Ruzora or its licensors and are protected by intellectual-property law. These Terms do not transfer any of it to you.
You may read, quote, and link to our public content with attribution, including inside an AI assistant’s answer. You may not republish it wholesale, present it as your own, or use our name or logo in a way that suggests we endorse you.
Anything you send us — a message, a CV, a project brief — stays yours. You grant Ruzora permission to use it for the purpose you sent it for: responding to you, assessing an application, or preparing a proposal. If you send us feedback or a suggestion about the Services, we may act on it freely and without obligation to you.
Ownership of work product created during an engagement is governed by the applicable MSA or SOW.
10.Third-party services and links
The Services link to and rely on third parties — AI assistant providers, payment and e-signature providers, scheduling tools, analytics, and external websites we cite. Their terms and privacy policies govern your use of them. We are not responsible for their content, availability, or conduct.
In particular, an AI assistant that connects to our MCP server is governed by its own provider’s terms. Ruzora is not a party to that relationship.
11.Disclaimers
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, Ruzora disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted or error-free, that content on the site or served over MCP is complete or current, or that any calculator, estimate, or guide will match your situation. Nothing on this website is legal, tax, employment, or financial advice.
This section does not limit any warranty Ruzora gives in a signed MSA or SOW, which stands on its own terms.
12.Limitation of liability
To the fullest extent permitted by law, Ruzora will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to your use of the Services — even if we were told such damages were possible.
Ruzora’s total aggregate liability arising out of or relating to these Terms is limited to the amount you paid Ruzora for the Services in the three months before the event giving rise to the claim, or one hundred US dollars (US$100) if you paid us nothing.
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
Liability for an actual engagement is governed by the applicable MSA or SOW, not by this section.
13.Indemnity
You agree to indemnify and hold Ruzora and its officers, employees, and contractors harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your submission of information you were not entitled to submit — including information sent to us through an AI assistant acting on your instructions.
14.Suspension and termination
You can stop using the Services at any time, and ask us to close your account and delete your information (see the Privacy Policy).
We may suspend or terminate access to any part of the Services, with or without notice, if you breach these Terms, if we reasonably suspect fraud or abuse, or if we are required to by law. Sections that by their nature should survive — intellectual property, disclaimers, limitation of liability, indemnity, and governing law — survive termination.
Terminating access to the website or MCP server does not terminate a signed MSA or SOW, which ends only under its own terms.
15.Governing law and disputes
These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Bernalillo County, New Mexico have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and you and Ruzora each consent to that jurisdiction.
Before filing anything, please email team@ruzora.com. Most disputes are cheaper to solve in an email thread than a courtroom, and we will engage in good faith.
16.Changes to these terms
We may update these Terms. The “last updated” date at the top always reflects the current version. Continuing to use the Services after a change means you accept the updated Terms. For material changes affecting an active client relationship, we will notify the affected clients directly.
